Terms of Service

1. Acceptance of Terms

By accessing or using Filesign ("the Service"), you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree, please do not use the Service. These terms apply to all users of the Service, including document owners who upload and manage documents, and signers who are invited to sign documents.

2. Description of Service

Filesign is an electronic document signing platform operated by Bluemoon Innovations, a company registered in India. The Service allows you to upload PDF documents, place signature fields, invite signers by email, and collect legally binding electronic signatures. Invited signers are not required to create an account to use the Service. They access documents via a unique link sent to their email and verify their identity with a one-time passcode.

3. User Accounts

You must be at least 18 years old to create an account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. We use email one-time passcodes and third-party OAuth providers (Google, Apple, GitHub, LinkedIn) for authentication. You represent that all information you provide is accurate and current.

4. Acceptable Use

You agree not to use the Service to: • Upload, sign, or distribute documents that are illegal, fraudulent, or violate any applicable law • Forge, impersonate, or misrepresent another person's identity or signature • Upload content containing malware, viruses, or malicious code • Attempt to gain unauthorized access to another user's documents or data • Use the Service for spam, phishing, or any deceptive purpose • Interfere with or disrupt the integrity or performance of the Service • Circumvent or attempt to circumvent any security measures We reserve the right to suspend or terminate accounts that violate these restrictions.

5. Electronic Signatures and Legal Standing

Signatures collected through Filesign constitute legally binding electronic signatures under the Information Technology Act, 2000 and the Electronic Signature or Electronic Authentication Technique and Procedure Rules, 2015 (India), and equivalent legislation in other applicable jurisdictions. You represent and warrant that you have the legal authority to sign any document submitted through the Service on behalf of yourself or any organization you represent. You consent to the use of electronic records and electronic signatures in connection with the Service. While our audit trails are designed to support the legal enforceability of signed documents, we do not guarantee a specific legal outcome in any particular jurisdiction or proceeding.

6. Your Content

You retain ownership of all documents, signatures, and other content you upload or create through the Service ("Your Content"). By using the Service, you grant Bluemoon Innovations a limited, non-exclusive, royalty-free licence to store, process, and transmit Your Content solely as necessary to provide the Service. You represent and warrant that you have all rights necessary to upload Your Content and that doing so does not infringe any third-party intellectual property rights.

7. Privacy and Data

Our Privacy Policy, available at filesign.ink/privacy, governs how we collect, use, and protect your personal data. By using the Service, you consent to the collection and use of information as described in that policy. We retain signed documents and audit trails for a minimum of 7 years after completion to support legal enforceability under Indian law.

8. Service Availability

We aim to provide a reliable, high-uptime service but do not guarantee uninterrupted or error-free availability. We may update, maintain, or temporarily suspend the Service at any time, and we will endeavour to provide advance notice of planned downtime where reasonably possible.

9. Fees

The core Service is currently provided free of charge. If paid features or plans are introduced in the future, you will be notified in advance with clear pricing information before any charge is applied. You will never be charged without your explicit consent.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. We make no warranty that the Service will meet your requirements or that the operation of the Service will be uninterrupted, timely, secure, or error-free.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Bluemoon Innovations shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity, arising from or related to your use of the Service. Our total aggregate liability for any claim arising from or related to these terms or the Service shall not exceed ₹10,000 or the total amount you have paid us in the 12 months preceding the claim, whichever is greater.

12. Indemnification

You agree to indemnify, defend, and hold harmless Bluemoon Innovations and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Service, Your Content, or your violation of these Terms.

13. Termination

Either party may terminate this agreement at any time. You may close your account by contacting us. We reserve the right to suspend or terminate your access to the Service immediately if you violate these Terms or if we reasonably believe your use poses a legal or security risk. Upon termination, you may request an export of your data. Certain data may be retained as required by law, including audit trails of signed documents.

14. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India, including the Information Technology Act, 2000 and the Digital Personal Data Protection Act, 2023. Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in accordance with the Arbitration and Conciliation Act, 1996, conducted in India. The language of arbitration shall be English. This clause does not prevent either party from seeking urgent injunctive relief from a court of competent jurisdiction.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the effective date. For significant changes, we will send an email notification to registered users. Your continued use of the Service after any changes constitutes your acceptance of the updated Terms.
